Welcome to Visva Music LLC ("Company," "we," "our," or "us"). By accessing or using our website (visvamusic.com), Visva CMS+ platform (cms.visvamusic.com), and related services (collectively, the "Services"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms").

If you do not agree with these Terms, please discontinue use of our Services immediately.

To use our Services, you must:

• Be at least 18 years of age, or the legal age of majority in your jurisdiction (whichever is higher)
• Have the legal capacity to enter into binding agreements
• Not be prohibited from using our Services under applicable laws
• Own or have proper authorization for any YouTube channel(s) submitted to us
• Comply with YouTube's Terms of Service and Community Guidelines

Visva Music LLC operates a Multi-CMS Aggregator Platform ("Visva CMS+") providing:

• YouTube Multi-Channel Network (MCN) services
• Content Management System (CMS) linking to various partner networks
• Content ID monetization and rights management
• Music distribution to global DSPs (Digital Service Providers)
• Revenue collection, reporting, and disbursement
• Channel analytics and performance tracking
• YouTube channel creation services
• Related creator support services

4.1 Account Creation

When you register for our Services, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials.

4.2 Account Security

You agree to:

• Notify us immediately of any unauthorized access
• Use strong, unique passwords
• Enable Two-Factor Authentication where available
• Not share your credentials with third parties

4.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose risk to our Services.

Our Services integrate with YouTube API Services. By using features that require YouTube integration:

• You agree to comply with YouTube's Terms of Service
• You acknowledge that Google's Privacy Policy applies to Google/YouTube data
• You may revoke access at any time through your Google Account settings

Our use of YouTube API Services complies with:

• Google API Services User Data Policy
• YouTube API Services Developer Policies
• YouTube API Services Terms of Service

6.1 Revenue Share

Revenue share percentages are determined individually based on channel performance, content quality, category, and market conditions. Rates typically range from 70% to 85% and are confirmed in writing before channel linking.

6.2 Payment Terms

• Payment Cycle: M+2 (revenue from Month M is paid by end of Month M+2)
• Minimum Payout: USD $100
• Payment Methods: Bank Transfer, Wise, PayPal, UPI (India), USDT (select regions)
• Currency: United States Dollars (USD)

6.3 Payment Holds

Payments may be withheld for:

• Incomplete KYC documentation
• Active copyright violations
• Suspected fraudulent activity
• Legal or regulatory compliance requirements
• Pending investigations

6.4 Tax Responsibilities

You are solely responsible for reporting income and paying applicable taxes in your jurisdiction. We may issue tax forms (1099 for US creators, TDS certificates for India) as required by law.

7.1 Your Content

You retain full ownership of all original content on your YouTube channels. By linking your channel to Visva CMS+, you grant us a limited, non-exclusive, worldwide license to:

• Manage your content within the YouTube ecosystem
• Register your content in Content ID
• Collect revenue on your behalf
• Represent your content in copyright matters

7.2 Our Intellectual Property

All Visva Music LLC branding, logos, dashboards, technology, and proprietary systems are our exclusive property. You may not copy, modify, or distribute these without written permission.

8.1 Copyright Compliance

You represent and warrant that:

• Your content does not infringe third-party rights
• You have all necessary licenses for any samples, covers, or third-party material
• You will resolve copyright claims within 72 hours of notification

8.2 Penalty Structure

• Tier 1 (1-5 claims): 20% revenue deduction
• Tier 2 (6-10 claims): 30% revenue deduction
• Tier 3 (10+ claims): Channel suspension

8.3 Prohibited Content

• Content violating YouTube Community Guidelines
• Copyright-infringing material
• Sexually explicit or harmful content
• Content promoting violence or discrimination
• Fake engagement (bots, purchased views/subscribers)
• Non-exclusive content without proper licenses

You agree NOT to:

• Link the same channel to multiple MCNs simultaneously
• Transfer channel ownership without prior written approval
• Manually enable Content ID on linked channels
• Engage in fraudulent revenue activity
• Reverse-engineer or exploit our platform
• Interfere with our Services or servers
• Impersonate others or misrepresent affiliations
• Use our Services for any illegal purpose

10.1 Termination by You

You may terminate your account with 30 days written notice sent to contact@visvamusic.com. Outstanding obligations must be fulfilled before termination is effective.

10.2 Termination by Us

We may terminate immediately for:

• Material breach of these Terms
• Fraudulent activity
• Serious policy violations
• YouTube channel termination
• Non-payment or refund disputes
• Court order or legal requirement

10.3 Effect of Termination

• Manager access to your channels is revoked
• Outstanding revenue settled within 60 days
• Your data retained per our Privacy Policy
• Confidentiality obligations survive

11.1 Service Availability

Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee:

• Uninterrupted or error-free service
• Specific revenue outcomes
• Specific growth or subscriber counts
• YouTube platform availability
• Immunity from YouTube policy changes

11.2 Limitation of Liability

To the maximum extent permitted by law, Visva Music LLC shall not be liable for indirect, incidental, consequential, or punitive damages. Our total liability shall not exceed the fees paid by you in the preceding 12 months.

You agree to indemnify, defend, and hold harmless Visva Music LLC, its officers, directors, employees, and affiliates from any claims, damages, or expenses arising from:

• Your content or its use
• Your breach of these Terms
• Your violation of third-party rights
• Copyright infringement claims
• Tax obligations on your earnings

13.1 Good Faith Negotiation

Parties agree to resolve disputes through good-faith negotiation for 30 days before pursuing formal action.

13.2 Arbitration

Unresolved disputes shall be settled through binding arbitration:

• US-based Users: American Arbitration Association (AAA), Wilmington, Delaware
• India-based Users: Indian Arbitration and Conciliation Act, 1996, Kolkata, West Bengal

13.3 Governing Law

• US Users: Laws of Delaware, USA
• India Users: Laws of India, Kolkata jurisdiction

We may update these Terms with 30 days advance notice via email and website notification. Continued use after changes constitutes acceptance. Material changes require explicit acceptance.

15.1 Entire Agreement

These Terms constitute the entire agreement between you and Visva Music LLC.

15.2 Severability

If any provision is unenforceable, the remaining provisions continue in effect.

15.3 No Waiver

Our failure to enforce any right does not waive that right.

15.4 Assignment

You may not assign your rights without our written consent. We may assign to affiliates or successors.

15.5 Force Majeure

Neither party is liable for delays due to natural disasters, pandemics, war, government actions, YouTube platform changes, or other events beyond reasonable control.
